1. Acceptance of Terms

By installing, accessing, or using ALT AI Image Optimizer, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not install or use the App. These terms apply to all users of the App, including merchants and their authorized representatives.

2. Description of Service

ALT AI Image Optimizer is a Shopify application that uses artificial intelligence (powered by OpenAI) to automatically generate alt text for product images, optimize images, monitor Core Web Vitals, analyze page speed, and improve SEO performance for your Shopify store.

3. Subscription & Billing

• The App is offered on a subscription basis at $30 USD per month, billed every 30 days through Shopify's billing system.
• A 3-day free trial is available to new subscribers. No charges are incurred during the trial period.
• After the trial, your subscription will automatically begin and you will be billed $30 USD every 30 days until you cancel.
• All billing is processed by Shopify. We do not store your payment information.
• Prices may be subject to change. We will provide at least 30 days notice of any price changes.

4. Cancellation Policy

You may cancel your subscription at any time through your Shopify Admin panel. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. Upon cancellation:

• Access to the App's features will end at the conclusion of the paid period
• Alt text already applied to your images will remain on your store
• Your data will be deleted within 30 days per our Privacy Policy

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of Shopify's Terms of Service
• Attempt to reverse engineer, decompile, or extract the App's source code
• Use the App to generate misleading, defamatory, or harmful content
• Resell, sublicense, or transfer access to the App to third parties
• Attempt to bypass any security measures or usage limitations
• Use the App in a way that could damage, disable, or impair our servers

6. Intellectual Property

The App, including its design, code, algorithms, and documentation, is the intellectual property of LEED SPHERE TECHNOLOGIES LTD and is protected by copyright, trademark, and other applicable laws. The AI-generated alt text created for your product images becomes your property for use in your store. You grant us a limited, non-exclusive license to access your store data solely to provide the App's services.

7. Third-Party Services

The App integrates with OpenAI to generate alt text. Your use of the App is subject to OpenAI's terms of service and usage policies. We are not responsible for any changes, outages, or limitations imposed by OpenAI that may affect the App's functionality. The App operates within Shopify's platform and is bound by Shopify's Partner Program Agreement.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the App will be error-free, uninterrupted, or that AI-generated alt text will achieve specific SEO results. SEO outcomes depend on many factors beyond our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEED SPHERE TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APP IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless LEED SPHERE TECHNOLOGIES LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the App at any time with or without notice. We may update these Terms at any time. Continued use of the App after changes to these Terms constitutes your acceptance of the new Terms. Material changes will be communicated with at least 30 days notice where possible.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
